Welcome to Zicron Memex. These Terms of Service ("Terms") govern your use of the Zicron Memex application and services. By using Zicron Memex, you agree to these Terms.

By downloading, installing, or using Zicron Memex, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

2. Description of Service

Zicron Memex is a privacy-first AI memory assistant that captures, transcribes, and organizes your conversations and ideas. The service includes:

  • Audio capture and transcription
  • AI-powered search and summaries
  • Speaker recognition and diarization
  • Optional cloud sync and processing

3. User Accounts

To use certain features of Zicron Memex, you may need to create an account. You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

4. Acceptable Use

You agree to use Zicron Memex only for lawful purposes. You may not:

  • Record conversations without proper consent where required by law
  • Use the service to violate any applicable laws or regulations
  • Attempt to reverse engineer, decompile, or disassemble the software
  • Use the service to harass, abuse, or harm others
  • Interfere with or disrupt the service or servers
  • Share your account credentials with others

4.1 Recording Consent

Important: Many jurisdictions require consent from all parties before recording conversations. You are solely responsible for:

  • Understanding and complying with recording laws in your jurisdiction
  • Obtaining necessary consent before recording others
  • Informing others when you are recording

Zicron Memex is designed for personal use to capture your own conversations and meetings where you have the right to record. We are not responsible for how you use the recording functionality.

5. Intellectual Property

5.1 Your Content

You retain all rights to your content (recordings, transcripts, notes). We do not claim ownership of your personal data. By using cloud features, you grant us a limited license to process your encrypted data solely to provide the service.

5.2 Our Content

Zicron Memex, including its software, design, and documentation, is protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.

6. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using Zicron Memex, you agree to our Privacy Policy.

7. Subscription and Payments

Zicron Memex offers both free and paid subscription tiers. For paid subscriptions:

  • Payments are processed through Apple's App Store
  • Subscriptions auto-renew unless cancelled before the renewal date
  • No refunds for partial subscription periods
  • Price changes will be communicated in advance

8. Disclaimer of Warranties

ZICHRON MEMEX IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT:

  • The service will be uninterrupted or error-free
  • Transcriptions will be 100% accurate
  • AI-generated summaries will be complete or accurate
  • The service will meet your specific requirements

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZICHRON MEMEX AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.

Our total liability for any claims arising from your use of the service shall not exceed the amount you paid us in the past 12 months.

10. Indemnification

You agree to indemnify and hold harmless Zicron Memex and its affiliates from any claims, damages, or expenses arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any third-party rights, including recording consent laws

11. Termination

You may stop using Zicron Memex at any time. We may suspend or terminate your access if you violate these Terms. Upon termination:

  • Your right to use the service ends immediately
  • Data on your devices remains under your control
  • Cloud-synced data will be deleted within 30 days

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the app. Continued use after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes arising from these Terms or your use of Zicron Memex shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that you may bring claims in small claims court.
